1. Introduction
These Terms of Service (“Terms”) govern your access to and use of the website https://apexauto.site/ and the AI-powered automation services, tools, and features provided by ApexAI Automations (“we,” “us,” or “our”). By accessing or using our services, you agree to be bound by these Terms. If you do not agree, you must not use our services.
We operate primarily in the United States, with governing law in the State of Kansas.
2. Description of Services
ApexAI Automations provides AI-driven automation solutions, including chatbots, appointment setters, lead engagement tools (SMS, voice, WhatsApp, social), website widgets, lead reactivation campaigns, objection-handling assistants, and related services for businesses such as day spas and other service-based industries. Our services help improve sales efficiency, customer support, and booking rates through artificial intelligence.
3. Eligibility
You must be at least 18 years old to use our services. Our services are intended primarily for business use by companies and professionals. Individuals under 18 or using the services for personal, non-commercial purposes may not be fully supported. We do not knowingly allow use by minors.
By using our services, you represent that you are legally able to enter into these Terms and that you are using the services for legitimate business purposes.
4. User Accounts and Responsibilities
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

5. Payment Terms
Subscriptions and Billing: Some services are offered on a subscription basis. You authorize us to charge your payment method (via Stripe) on a recurring basis for the plan you select.
Trials: If offered, trial periods are subject to the terms presented at signup.
Refunds: All payments are non-refundable except as required by law or as explicitly stated in a specific promotion. We do not offer refunds for partial months of service.
Changes: We may change pricing with notice. Continued use after a price change constitutes acceptance of the new price.
You are responsible for all taxes associated with your use of the services.
6. Intellectual Property
Our IP: All technology, AI models, software, designs, logos, and content provided by ApexAI Automations remain our exclusive property. You are granted a limited, non-exclusive, non-transferable license to use the services during your active subscription.
Your Content: You retain ownership of the inputs and data you provide. By using our services, you grant us a worldwide, royalty-free license to use, reproduce, modify, and analyze your inputs and conversations solely for the purpose of providing and improving our services and AI models.
AI Outputs: Outputs generated by our AI tools are provided “as is.” You are responsible for reviewing and verifying any AI-generated content before use. We do not guarantee the accuracy, completeness, or suitability of AI outputs.
7. Acceptable Use and AI-Specific Rules
You agree not to:
Use the services to generate harmful, illegal, discriminatory, or abusive content.
Attempt to circumvent rate limits, security measures, or use the AI in ways that could harm the system or third parties.
Share access to the services with unauthorized users.
Use the services in violation of any applicable laws or third-party rights.
Because parts of our services rely on third-party AI models (including Grok by xAI), your use is also subject to their acceptable use policies.
8. Termination and Suspension
We may suspend or terminate your access to the services at any time, with or without notice, for violation of these Terms, non-payment, or to protect the integrity of our systems. Upon termination, your right to use the services ceases immediately, and you remain responsible for any outstanding payments.
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.
9. Service Changes and Availability
We reserve the right to modify, suspend, or discontinue any part of the services at any time. We will make reasonable efforts to notify you of material changes.
10. Disclaimers and Limitation of Liability
Our services are provided “as is” and “as available” without any warranties, express or implied. We do not warrant that the services will be uninterrupted, error-free, or that AI outputs will be accurate or reliable.
To the fullest extent permitted by law, ApexAI Automations shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, data, or profits, even if advised of the possibility of such damages. Our total liability shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
11. Indemnification
You agree to indemnify and hold us harmless from any claims, losses, or damages arising from your use of the services, your content, or your violation of these Terms.
12. Governing Law and Dispute Resolution
These Terms shall be governed by the laws of the State of Kansas, without regard to conflict of laws principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Johnson County, Kansas.
13. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website. Your continued use of the services after the effective date constitutes acceptance of the new Terms.
